By commissioning Bad Batch Media Ltd. (“Bad Batch Media”, “the Agency”, “we”, “us”, “our”) you (“Client”, “you”) accept and agree to the following terms of engagement. These terms form a binding agreement and prevail over any Client purchase order, brief or vendor form unless expressly varied in writing by a director of Bad Batch Media.

All engagements are governed by English law. Any dispute arising from the interpretation or performance of this agreement is subject to the exclusive jurisdiction of the courts of England and Wales. A signed statement of work, proposal acceptance or initial invoice payment constitutes acceptance of these terms.

We collect and process personal information to deliver services and operate our business. This includes: contact details, company information, project correspondence, usage and analytics data from our website and client platforms, and financial records required by law.

All personal information is handled lawfully, stored securely and retained only for as long as required. We do not sell personal data. Analytics are aggregated and anonymised wherever possible.

When contracted for social media management, digital activation or community operations, the Agency may require privileged access to Client-owned channels, including Instagram, TikTok, Meta Business Suite, LinkedIn, X, YouTube and Pinterest.

• All credentials are stored in an encrypted password manager with hardware-key protected access and multi-factor authentication.
• Access is scoped to the minimum permission level required for delivery. No shared credentials are used across Client accounts.
• All account activity is logged. The Agency does not publish, delete or alter account permissions without documented Client approval.
• Client may revoke access at any time. On termination the Agency removes all credentials and delivers an access audit within five working days.

Bad Batch Media produces commercial film, photographic stills, 3D motion and supporting materials. Except where expressly assigned in writing, copyright and all related rights remain the property of the Agency.

The Client is responsible for obtaining all third-party clearances, including music, talent, location and archive rights, unless a separate clearance schedule is included in the statement of work.

For custom digital builds, ownership of bespoke code, design systems and documentation is assigned to the Client on final payment, excluding pre-existing Agency tooling and third-party licences.

• Bespoke front-end and back-end code is delivered in a Client-owned repository with build instructions.
• Third-party plugins, fonts and licences remain subject to their own terms and are the Client’s responsibility to renew.
• The Agency retains a non-exclusive right to reference the work in its portfolio unless a written embargo is agreed.
• Warranty support runs for 30 days after launch. Ongoing maintenance is covered by a separate retainer.
